These Terms of Service ("Terms") govern your access to and use of EXO, our website, and related services (collectively, the "Service"). EXO is operated by OutHives Inc. ("OutHives," "we," "us," or "our").

By creating an account, downloading EXO, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use EXO.

1. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use EXO. If you are under the age of majority where you live, you may use EXO only with permission and supervision from a parent or legal guardian.

You are responsible for ensuring that your use of EXO is lawful where you live.

2. The EXO Service

EXO is a personal health companion that helps you track and understand nutrition, supplements, activity, sleep, vitals, workouts, body metrics, goals, and related lifestyle signals. EXO may include AI-powered features for food recognition, label extraction, chat, summaries, insights, reports, meal planning, and recommendations.

We may add, change, limit, suspend, or discontinue features at any time. Some features may require an account, an active subscription, device permissions, network access, or compatible hardware or services.

3. Not Medical Advice

EXO is provided for informational, educational, and personal tracking purposes only. EXO is not a medical device, healthcare provider, dietitian, nutritionist, or substitute for professional medical advice, diagnosis, treatment, or emergency care.

Nutrition estimates, health insights, AI responses, food identifications, supplement information, calorie counts, activity summaries, and recommendations may be incomplete, inaccurate, delayed, or not appropriate for your personal circumstances.

Always consult a qualified healthcare professional before making medical decisions, changing medication, starting a supplement, changing your diet, beginning an exercise program, or acting on information from EXO, especially if you have a medical condition, are pregnant, or have specific health concerns.

4. Your Account

You are responsible for the accuracy of the information you provide and for maintaining the confidentiality of your account credentials and devices. You are responsible for all activity under your account.

Tell us promptly if you believe your account has been accessed without permission. We may suspend or terminate accounts that violate these Terms, create risk, or are used in a way that harms EXO, other users, or OutHives.

5. Your Content and Data

You may submit, upload, sync, or generate content through EXO, including food logs, photos, scans, supplement labels, progress photos, chat messages, notes, goals, and health-related information ("User Content"). You retain ownership of your User Content.

You grant OutHives a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, analyze, display, transmit, and create derived outputs from your User Content as needed to provide, maintain, secure, troubleshoot, and improve EXO. This includes processing User Content with service providers and AI systems that help operate EXO.

You represent that you have the rights and permissions needed to submit your User Content and that it does not violate law, these Terms, or anyone else's rights.

6. AI Features

EXO uses AI and machine learning systems. AI outputs are generated from available context and may be wrong, incomplete, or misleading. You are responsible for reviewing and deciding whether to rely on any output.

You should not submit content that you are not allowed to share or that includes highly sensitive information unrelated to your use of EXO. Do not use EXO's AI features to generate unlawful, harmful, abusive, deceptive, or infringing content.

7. Subscriptions, Billing, and Cancellation

Some EXO features may require a paid subscription or in-app purchase. Purchases made through the Apple App Store are processed by Apple and are subject to Apple's payment, renewal, cancellation, and refund terms.

Subscriptions may automatically renew unless cancelled before the end of the current billing period. You can manage or cancel App Store subscriptions through your Apple ID subscription settings. We do not control Apple's billing systems or refund decisions.

Prices, features, trial availability, and subscription terms may change as permitted by law and applicable platform rules.

8. Acceptable Use

You agree not to:

• Use EXO for unlawful, harmful, fraudulent, abusive, or misleading purposes.
• Upload content that is illegal, infringing, hateful, harassing, sexually explicit, exploitative, or otherwise harmful.
• Upload photos or personal information of others without appropriate rights or consent.
• Interfere with, disrupt, overload, scrape, probe, or attack EXO or its systems.
• Reverse engineer, decompile, copy, modify, resell, or create derivative services from EXO except as allowed by law.
• Attempt to bypass access controls, usage limits, subscriptions, security measures, or account restrictions.
• Use EXO to develop, train, or benchmark a competing product or service without our written permission.

9. Intellectual Property

EXO, including its software, design, branding, text, graphics, interfaces, models, workflows, and other content, is owned by OutHives or its licensors and is protected by intellectual property laws. Except for the limited right to use EXO under these Terms, we do not grant you any ownership or license in EXO or our intellectual property.

You may not use the EXO name, logo, branding, or content in a way that suggests endorsement or affiliation without our written permission.

10. Third-Party Services

EXO may rely on or link to third-party services, platforms, app stores, health APIs, payment systems, AI infrastructure, cloud providers, or other integrations. We are not responsible for third-party services, and their own terms and privacy policies may apply.

Your use of EXO on an Apple device is also subject to applicable Apple terms and App Store rules.

11. Apple App Store Terms

If you downloaded EXO from the Apple App Store, Apple is not responsible for EXO or its content and has no obligation to provide maintenance or support for EXO. To the extent required by Apple's terms, Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, and protect information. By using EXO, you acknowledge that we process information as described in the Privacy Policy.

13. Termination

You may stop using EXO at any time and may delete your account in the app. We may suspend, limit, or terminate your access to EXO if you violate these Terms, create risk, cause harm, fail to pay required fees, or if we need to protect EXO, users, or OutHives.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute terms.

14. Disclaimers

EXO is provided "as is" and "as available." To the maximum extent permitted by law, OutHives disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that EXO will meet your needs, produce accurate results, prevent health issues, or be available at all times.

15. Limitation of Liability

To the maximum extent permitted by law, OutHives and its directors, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities, arising from or related to EXO or these Terms.

To the maximum extent permitted by law, our total liability for any claim related to EXO or these Terms will not exceed the greater of the amount you paid to OutHives for EXO in the 12 months before the claim or CAD $100.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

16. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless OutHives and its directors, officers, employees, contractors, affiliates, and service providers from claims, damages, losses, liabilities, costs, and expenses arising from your use of EXO, your User Content, your violation of these Terms, or your violation of law or third-party rights.

17. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of law principles.

The courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising from or related to these Terms or EXO, except where applicable consumer protection laws give you rights to bring claims elsewhere.

18. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will update the date above and provide additional notice where required by law. Your continued use of EXO after updated Terms become effective means you accept the updated Terms.
